Unico S.r.l. – General Terms and Conditions of Sale.
This document generally governs the Terms and Conditions of Sale (“General Conditions”) related to orders and purchases of products, as well as the sharing and exchange of information between the company Unico S.r.l., headquartered in Fiumicino (RM), via Sante Tani n. 82, registered with the Rome Chamber of Commerce, REA Number RM–1721801, Tax Code and Business Register Number 17496861000, VAT number 17496861000, telephone number +39-3428057374, email patrizio.vallena@unico-luxury.com, PEC unicopv@legalmail.it, bank details: IBAN: IT22S0103049630000001023224, BIC/SWIFT: PASCITM1R94, (“Unico”), and the clientele (“the customer”) intending to order and purchase products from the company. These General Conditions provide information about Unico S.r.l., the type and manner of purchasing products, the use of the website, the applicable conditions, the methods of withdrawal and cancellation of an order, and other important information.
Unico S.r.l. invites the customer to carefully review the following General Conditions before placing an order and to contact the company for any doubts or need for clarification. If the customer does not agree with the provisions of these General Conditions, the Terms of Use, or the Privacy Policy, they are invited not to make purchases from Unico S.r.l. and, if necessary, to contact the company.
Registered Trademark and Patent. Unico S.r.l. holds a specific design patent concerning, in general terms, a “device consisting of an accessory element and related tie for clothing” that “includes integrated electronic means, which implement NFC – Near Field Communication technology, and allow information to be stored directly in the product in digital format, including the product’s warranty.Unico S.r.l. commits, for every sale made, to the free transfer of the original product’s NFT – Non-Fungible Token to the customer’s “wallet”. The customer will have 2 years to accept it. All products made by Unico S.r.l. comply with the patent and meet the technical characteristics and standards that define it, in line with the respective patent claims.
Uniqueness and Customization of the Product.
Unico S.r.l. creates unique products, chosen, configured, and made exclusively, together with the customer, according to their tastes, and respecting the patent’s technical characteristics and standards.
The only exception to the product’s uniqueness is found in the case of product lines launched directly by Unico S.r.l., or special corporate editions of products, which, although not exclusive products, will always be certified products in a limited number.
In this regard, Unico S.r.l. expressly reserves the right to independently produce and sell products belonging to customized and specific lines and editions, in a limited, certified, and numbered number of examples.
In the case of customized corporate lines and editions produced directly by Unico S.r.l., the products will not be unique but, as mentioned, in limited editions.
Every product made and sold by Unico S.r.l., except for the lines of products launched directly by Unico S.r.l., or corporate editions of products made, is therefore unique and exclusive, respecting article 45 of the Italian Consumer Code, for which personalized goods are those products created following “the consumer’s instructions” and therefore not prefabricated or considered as a “variant”, but produced based on an individual, exceptional choice or decision, concretely applied to the good by the supplier.
Every product, except for the lines and corporate editions produced directly by Unico S.r.l., is therefore different from the other, and the good being sold is always made according to the customer’s requests and therefore totally “customized”. Unico S.r.l., with the only exception being the lines of products launched directly by the company and the corporate customized editions produced directly by Unico S.r.l., guarantees the uniqueness of the customized and personalized products made by the customer, committing not to produce a second product identical to one already made and customized and, to this end, keeps in its historical archive, respecting privacy regulations, a memory of each product made and the unique characteristics that define it. Unico S.r.l. reserves the right to accept or reject any product customization request if it conflicts with its patent or contains offensive, illegal language or images, or is contrary to the adopted policies. The customer is responsible for ensuring that the formulation provided for the customization and customization of the products is correct.
Website.
Unico S.r.l. does not use an online shop; however, using the website solely for product configuration implies the customer’s acceptance of these General Conditions, the Terms of Use available at https://www.unico-luxury.com, and the Privacy Policy available at https://unico-luxury.com, which are fully referred to here, as well as other notices that may be published on the site or sent by email and finally all applicable laws and regulations. Access to the configuration page on the site is reserved exclusively for customers who have received the special invitation card or are already registered.
Intellectual Property and Trademarks.
All trademarks, logos, or service marks appearing on the Site, documentation, and informative brochures, whether registered or not, are the exclusive property of Unico S.r.l.
These General Conditions and all materials, elements, and contents (including designs, models, illustrations, photographs, videos, texts, codes, audio and graphic tracks) included on the Site, as well as the appearance of the same, are the exclusive property of Unico S.r.l.
Nothing contained on the Site may in any way be construed as an implied license of any kind or right to use the Trademarks displayed on the Site without the written authorization of Unico S.r.l.
The customer may copy and print pages from the Site, informational documentation, emails, and brochures solely for non-commercial purposes related to orders or purchases.
Without express authorization from Unico S.r.l., any other use of the Site, its contents, and information is strictly prohibited.
Who Can Make Purchases.
Only individuals (or non-legal entities) who:
have reached the legal age to enter into contracts (eighteen in most countries);
have the legal capacity to enter into contracts; and
use a shipping address in Italy or in countries where Unico S.r.l. delivers. Minors, unless otherwise provided, do not have the right to lawfully enter into a contract and must use a parent or legal guardian to place an order on their behalf and will be required to accept these Terms of Sale.
By placing an order, the customer declares and warrants that they are a bona fide customer purchasing for their personal use or for another person and will not deliver, sell, or distribute Unico S.r.l. products or purchase them for commercial purposes.
To access the configuration pages of the site, it is necessary to receive an invitation card from the sales consultants, containing a unique access code.
Once the access card is received, the customer can register their unique account on the site, also usable for future purchases.
Unico S.r.l. has full freedom to choose the potential customers to whom to send the invitation card and reserves the right, at its sole discretion, to cancel and revoke the invitation card or registered account at any time.
Configuration, Product Selection, and Rendering.
On the Unico S.r.l. website, or at corporate sales stands and through the sales network, customers can freely configure, in an assisted manner, with the help of Unico S.r.l. consultants, their unique and exclusive product, respecting the patent. Once the assisted configuration phase is completed, a hypothetical rendering of the product is provided, which obviously cannot be entirely consistent with the finished product. At the end of the configuration phase and the release of the rendering, a cost estimate of the item will also be proposed, reserved for the customer who configured the product and locked for 15 days, as well as the determination of possible delivery and/or shipping times and related costs.If the final configuration and the released rendering are satisfactory to the customer, they can proceed to the next order phase by accepting the price and possible delivery times. For products belonging to the customized corporate lines and editions produced directly by Unico S.r.l., no customization and configuration options are provided for the customer, who can place the order directly by accepting the price, possible delivery times, and costs.
Sales assistants can provide more information about the products. For information on the ordering procedure, please refer to the Order Procedure section.
Order Procedure.
Each order is unitary and will concern only one product.
The Unico S.r.l. sales assistant will guide the customer through all the phases of configuration and formulation of the order, even through dedicated charts and video calls, requesting verbal confirmation of the order details, except for products belonging to customized corporate lines and editions produced directly by Unico S.r.l.
Order Receipt Confirmation – Payment of Deposit and Down Payment.
The customer may place the order exclusively through the sales assistant, by completing and signing the specific “commission copy” form, even electronically, with the signing of which these general conditions, the sale price, the estimated costs, and possible delivery times will be formally accepted.
Before finalizing the order, the customer is required to carefully verify the accuracy of the provided information and correct any inaccuracies.
The order will be sent to Unico S.r.l. exclusively through the sales assistant who will also acquire it electronically.
The customer’s order constitutes an offer to purchase from Unico S.r.l. and, once sent, the order will be taken over by Unico S.r.l., which reserves the right to cancel it.
The delivery, sending, and/or receipt of the order by the sales assistant does not imply acceptance of the order and the conclusion of the purchase by Unico S.r.l. since, as indicated below, acceptance by Unico S.r.l. is subject to the subsequent payment of the deposit and down payment equal to 50% of the price.
The “commission copy” form specifies the accepted payment methods and the bank details for the deposit transfer, equal to 50% of the estimated price.
The deposit payment must be made within and no later than 15 days from the signing of the “commission copy” form; otherwise, the order will be considered canceled.
For products belonging to the customized corporate lines and editions produced directly by Unico S.r.l., the customer may pay the price directly and immediately collect the product. Alternatively, the customer can sign the order form and pay the deposit and down payment, equal to 50% of the price, requesting shipment to the indicated address, upon payment of the balance, according to the methods specified below.
Order Confirmation and Penalty.
At the moment of crediting the deposit equal to 50% of the price to Unico S.r.l.’s account, the order will be formally accepted, unless Unico S.r.l. cancels it, in which case the deposit received will be fully refunded.
The contract between the customer and Unico S.r.l. is concluded only upon the collection of the deposit and down payment by Unico S.r.l. and will only concern the product for which the deposit was paid.
After the delivery and/or sending of the order and the payment of the deposit, the order can no longer be modified, unless otherwise provided by these General Conditions or by law.
In case of order cancellation by the customer, the amount equal to 50% received, also as a down payment, will be retained by Unico S.r.l. also as a penalty.
Order Ready for Collection and Shipment.
Unico S.r.l. will always notify the customer via email when the product is ready for delivery (“order ready for collection or shipment”).
The balance of the price, as well as any shipping and customs costs, must always be paid by bank transfer to the same bank coordinates used for the deposit payment at least 5 days before the product delivery and in any case no later than 15 days from the communication that the product is ready for collection.
For products belonging to the customized corporate lines and editions produced directly by Unico S.r.l., if not immediately paid and collected, the balance payment must be made within 15 days from the deposit and down payment.
In case of non-payment of the balance, 15 days after the deadline, without any communication from the customer, the order will be automatically considered canceled for non-payment, and the amount equal to 50% already received as a deposit and down payment will be retained by Unico S.r.l. also as a penalty.
It is possible to request product delivery at the Unico S.r.l. headquarters, the sales stands, or international shipping by a specialized courier.
For orders to be shipped, the shipment will be arranged within 5 days from the receipt of the balance payment and will occur according to the times indicated by the courier chosen by Unico S.r.l. among those specialized in valuable deliveries, and any customs duties and insurance will be borne by the customer.
For orders with collection at the Unico S.r.l. headquarters or sales stands, the customer must go there within fifteen (15) days from the balance payment.
At the time of order collection, the customer must have with them the received email, to be shown digitally on a mobile device, along with the original of a valid identity document.
If the collection is to be made by a person delegated by the customer, they must have with them the original signed delegation bearing the complete details of the delegated person, the email “order ready for collection” and the original of their valid identity document, as well as a valid identity document of the customer on whose behalf they are collecting.
Unico S.r.l. will check and record the serial number of the original valid photo ID document.
Before accepting the product, the customer or the delegated person must sign the “order delivery receipt”.
The signed delivery receipt constitutes proof of delivery and acceptance of the ordered product. To this end, the records of Unico S.r.l. constitute proof of delivery, and it will not be possible to raise any disputes if the order is shown as delivered.
Unico S.r.l. keeps records of transactions with its customers. You are invited to download these General Conditions and the Order Confirmation. In case of any dispute related to an order placed on the Site, the data stored by Unico S.r.l. will constitute proof of the transaction.
General Rules.
Orders can only be placed for personal use, excluding any commercial purposes, in compliance with patent conditions and related claims.
Before acceptance, Unico S.r.l. reserves the right to cancel any order when there are valid reasons such as, without limitation:the customer has been involved in a dispute with Unico S.r.l. regarding a previous order; Unico S.r.l. has reasonable grounds to suspect that the customer:
has violated these General Conditions;
has not made payment for purchased products by the due date;
is involved in fraudulent activities or grey market activities (e.g., resale of products through channels not belonging to Unico S.r.l.’s authorized sales network);
refuses to provide information that Unico S.r.l. is legally obligated to collect;
Unico S.r.l. deems that order cancellation is mandatory by law;
Unico S.r.l. has the right to cancel an order under these General Conditions.
If Unico S.r.l. unilaterally cancels an order, it will refund any payments previously made by the customer.
Unico S.r.l. strives to ensure that the color, design, and style of Unico S.r.l. products configured and idealized in the rendering best represent the finished products. However, the appearance of the original product may slightly differ from that depicted during the configuration and rendering phases due to technical reasons or other factors.
To the extent permitted by law, Unico S.r.l. will not be responsible for any errors or inaccuracies in photographs, renderings, or graphic representations of Unico S.r.l. products displayed on the Site or otherwise at the end of the configuration and rendering phases, except as provided by these General Conditions.
None of the provisions of these General Conditions may exclude or limit non-waivable rights or remedies available to the customer under applicable law.

Special Products, Belonging to Customized Lines and Editions Produced Directly by Unico S.r.l.
Unico S.r.l. periodically reserves the right to create, in multiple copies and limited editions, lines of Special products that can also be pre-ordered, exclusively by invitation, by registered customers only.
Some products, therefore, may be available exclusively for pre-order.
Special products are subject to the terms and conditions stipulated in this document, as well as those mentioned on the dedicated web pages of the site (e.g., delivery times and delivery options) or in notices sent to registered customers of Unico S.r.l.
Pre-orders and sales of Special products are subject to the same procedures and conditions applicable to other products, as indicated above.
In the case of sales of Special products or pre-orders, registered customers can access their account to attempt to purchase one of the items available in limited quantities according to the methods and instructions indicated in the received invitation.
At the end of the sales period, participants will be contacted to be personally informed of the outcome of the flash sales. If the order placed during the pre-sale is accepted, the order payment procedure will be completed automatically using the methods described above, valid for all products.
Due to production and technical constraints, it is possible that Unico S.r.l. may cancel a pre-order. Unico S.r.l. will inform of the cancellation as soon as possible, and the amount paid in such a case will be refunded through the same payment method used at the time of purchase.
Prices and Payments.
The prices of Unico S.r.l. products are indicated in euros and include all applicable taxes and VAT. Shipping costs are excluded, unless otherwise indicated, as well as customs duties and insurance costs, which will be specifically estimated.
The price provided at the conclusion of the configuration phase is fixed and reserved for fifteen calendar days thereafter, within which the customer may place the order under these conditions.
The price for products belonging to the customized lines and editions produced directly by Unico S.r.l. will instead be communicated from time to time in the respective sales offer.
However, any changes made to the applicable law between the date of order submission and the date of sending the Order Confirmation and delivery may result in changes to the taxes associated with the order itself. In case of an increase, Unico S.r.l. will contact the customer to inform them accordingly.
Therefore, the customer will be charged the price displayed at the end of the configuration phase and indicated in the order receipt confirmation for a timely order.
Within the term indicated in the order receipt communication, the customer must make a deposit and down payment equal to 50% of the total price; otherwise, the order will be considered canceled.
The balance must be made before the product delivery and, in any case, no later than 15 days from the relevant communication of the order being ready.
Payments are accepted exclusively by bank transfer, PayPal, ApplePay, and credit card issued by the following institutions: Visa, Amex, Mastercard. All orders can also be paid in US dollars; in this case, the base price will be determined in euros and then converted into dollars based on the exchange rate at the time of the estimate. The order must contain a shipping address if the customer does not opt for delivery at the Unico S.r.l. headquarters.
Depending on the payment methods, Unico S.r.l. may request further information, including specific forms of identification.
Some payment methods may be subject to validation and authorization checks by the payment system providers. The customer expressly authorizes Unico S.r.l. to perform the necessary security checks, where deemed appropriate, to transmit or obtain information (including updated information) about them or third parties, for any reason, including, by way of example but not limited to, payment card data, to authenticate identity, validate the payment card, obtain an initial authorization for the payment card, and authorize individual purchase transactions.

Weight and carat may slightly differ from those estimated due to the manufacturing method.
Retention of Title and Transfer of Risks.
The product will remain the property of Unico S.r.l. until full payment is made.
The ordered products will remain under the responsibility of Unico S.r.l. until the customer signs for receipt or delivery to the carrier.
Once the products are received, the customer accepts and assumes all risks related to the products (including loss, theft, or damage).
Delivery and Shipping.
The purchased products can be delivered at the sales stands, at the Unico S.r.l. headquarters, or shipped to the international address chosen by the customer, entered during the ordering process and indicated in the order confirmation, if accessible by the carrier.
Only one address can be entered for each order. If the address of a hotel is entered as the delivery address, the delivery can be made exclusively to the person indicated in the order and to no one else, including the hotel’s reception. The customer’s or delegate’s signature is required upon delivery. At the time of delivery, the product will be provided with its packaging and storage box, with the payment receipt or invoice if requested, and the Unica guarantee, containing, depending on the case, also the certification of the jewelry and the warranty certificate.
Delivery and Shipping Times and Costs.
Orders will be delivered according to the times indicated at the product configuration stage, except in exceptional cases beyond the control of Unico S.r.l., for which the customer will be immediately contacted, including cases of force majeure.
Unico S.r.l., given the uniqueness of the individually handmade products, reserves a delivery time tolerance of 30 working days, unless otherwise communicated promptly to the customer.
The delivery cost of the products to the sales stands and the Unico S.r.l. headquarters is free, while the shipping cost, including any customs duties and insurance expenses, is borne by the customer.
Delivery Issues.
Any missed deliveries or deliveries made more than seven (7) days after the indicated date (ten (10) days for deliveries to the islands) in Italy and fifteen (15) days abroad, must be reported to our customer service as soon as possible.
Any complaints must be communicated within a maximum of fifteen (15) days from the order delivery date. Once the order is received, the customer must check the products. If the products received do not conform to the order placed, or if the customer is not satisfied, they must immediately contact the concierge service by contacting customer service via email at patrizio.vallena@unico-luxury.com or by phone at +39 3428057374.
Return Policy.
Customized and personalized products by the customer.
Orders for customized products, being unique and 100% personalized, in accordance with these Terms of Sale, cannot be canceled or annulled.
Customized and personalized products, in any form or made differently from the specifications, being unique and made according to the customer’s specific requests, and therefore created ex novo specifically for the customer and at their precise request, cannot be returned without reason to Unico S.r.l.
Customized and personalized products cannot be returned for exchanges or refunds, in accordance with Article 59, letter c) of the Italian Consumer Code, which excludes the right of withdrawal in cases where the sold good has been made “to measure” or “personalized” based on the final customer’s choices.
The right of withdrawal is therefore excluded for customized and personalized products, which cannot be subject to return, refund, or exchange. Products belonging to the customized lines and editions produced directly by Unico S.r.l.
For orders of products belonging to the customized lines and editions produced directly by Unico S.r.l. only, the company adopts the following return and exchange policy, specifying the customer’s options on how to cancel an order, return a purchased product, and exercise their rights regarding obtaining a refund or exchange.
The customer has the right to cancel the contract concluded with the order confirmation in writing, without providing any reason, within 30 days from the purchase date. This applies only to products belonging to the customized lines and editions produced directly by Unico S.r.l., excluding those that are instead customized and personalized.
To ensure the withdrawal period is respected, it is sufficient to exercise the right of withdrawal before the expiry of the indicated term.
To cancel the contract and return the product, the customer can contact Unico S.r.l. at the above-mentioned addresses, including electronic ones.
All returns must include the original sales receipt and the guarantee.
Unico S.r.l. will verify that the returned product meets the conditions of the Return and Exchange Policy and only in case of compliance with the procedure, will proceed with the due refund and/or exchange.
All products returned following a return are also subject to a quality check before being accepted.
Products must be returned unused and new, in perfect condition, with all protective materials, tags, and stickers attached, and within the original packaging – box – in the returned package, with all accessories and documents.
Products showing signs of wear, damage, or alteration (including resizing) or whose tag, where present, has been removed, will not be accepted.
Unico S.r.l. reserves the right to reject returns if the product shows signs of wear or has been used or altered from its original condition in any way or, alternatively, to deduct the refund amount or exchange value.
If the order included free items, these must be returned with the products.
The customer is therefore responsible and accepts the reduction or loss of value of the returned products, even due to improper use that does not preserve the nature, characteristics, and, where applicable, the functioning of the products.
If the products do not meet Unico S.r.l.’s quality standards, the return will not be accepted, whereas if they meet them, Unico S.r.l. will proceed with the requested refund or exchange.
It is possible to request an exchange with another available product, or request a voucher for the customization of a new product.
Failure to comply with these Terms of Sale will authorize Unico S.r.l. to refuse the returned product and send it back with the costs always at the customer’s expense.
Unico S.r.l.’s Return Policy does not in any way intend to exclude or limit non-waivable rights or remedies available to the customer under the law (for more information, refer to the Warranty section).
The methods of reshipment to Unico S.r.l. will be agreed upon from time to time, and the related costs, including customs and insurance, will be borne by the customer.
Warranty.
Unico S.r.l. guarantees that its creations are unique, inimitable, and personalized by the customer, designed to manifest the dreams, emotions, desires, expectations, feelings, promises, memories, and achievements of its clients, which is why it produces irreplaceable precious items.
Unico S.r.l.’s philosophy makes each client the protagonist of every creation, making each creation unique and thought out by the customer.
Unico issues for each piece of jewelry sold, as a unique, inimitable, and personalized creation, its own certificate, which exemplifies the following characteristics, also referring to the individual certificates of the components: Color, clarity, carat weight, and cut of the diamonds (4C).Cut and carat weight of colored gemstones (rubies, sapphires, aquamarines, topazes, black diamonds, emeralds, tanzanites, etc.). Gold alloy (750 ‰) and weight in grams.
Upon customer request, diamonds weighing more than 0.30 ct with IGI, GIA, and HRD certificates, issued directly by accredited international gemological institutes, can also be provided.
The IGI, HRD, and GIA certificates, issued by world-renowned institutes, provide an accurate assessment of a diamond’s mass (weight), clarity, color, and cut based on rigorous international standards; these certifications come at an additional cost.
Please note that producing jewelry with IGI, GIA, or HRD certified diamonds often entails slightly longer delivery times.

Unico S.r.l. is committed to ensuring that every product strictly meets its quality criteria and has passed all technical and aesthetic inspections, also in accordance with the existing patent.
The purchased products are covered by the applicable legal warranty from Unico S.r.l., biennial for consumers, annual for legal entities, from the date of purchase, i.e., from the delivery of the product, as guaranteed to consumers.
Any longer warranty periods of any product components, including the chip, are reserved.
The warranty is valid internationally and covers all manufacturing defects. This warranty does not cover normal product deterioration.
The warranty will not be valid in case of loss, theft, improper use, negligence, or repair attempts by unauthorized persons.
Consumer law regulations, from which Unico S.r.l. cannot deviate, are always applicable.
Limitation of Liability.
To the maximum extent permitted by applicable law, Unico S.r.l. explicitly excludes any warranty, condition, or term, whether explicit or implied by statute, common law, or otherwise, regarding the products, sales channels, or related content.
Nothing in these Terms of Sale limits or excludes Unico S.r.l.’s liability under applicable law.

Authenticity Guarantee.
Unico S.r.l. guarantees the authenticity and uniqueness of all purchased products, as well as compliance with the patent it holds.
Each product is also equipped with an electronic chip that implements NFC – Near Field Communication technology, allowing information to be stored directly in the product in digital format, including the warranty.
Applicable Law.
These General Conditions, their interpretation and execution, including transactions carried out by any means and location, are governed by Italian law, excluding conflict of laws rules and, in any case, private international law rules. The applicability of the 1980 Vienna Convention on the Sale of Goods is also excluded. Each party irrevocably agrees to submit to the jurisdiction of the Italian courts regarding any claim or other matter related to these General Conditions. Additionally, the European ODR platform for out-of-court resolution of disputes concerning contractual obligations arising from online sales or service contracts between a consumer residing in the European Union and a professional established in the Union, as provided by EU Regulation No. 524/2013, is available at www.ec.europa.eu/consumers/odr/.
Duration.
Unico S.r.l. may modify, suspend, or discontinue the activity and operation of the Site at any time. Unico S.r.l. reserves the right to limit, suspend, or discontinue the customer’s access to the Site and/or its services if it has reason to believe that the customer is violating these General Conditions or applicable laws, or for any other reason, without any notice or liability on the part of Unico S.r.l., as well as in the case of violations of intellectual property rights.
Waiver.
The failure of Unico S.r.l. to exercise any right or provision of these General Conditions shall not constitute a waiver of such right or provision. If any clause of these General Conditions is found to be wholly or partly invalid or ineffective, such invalidity or ineffectiveness shall not extend to other clauses of these General Conditions, which shall remain fully effective.
Binding Agreement.
